Welcome to CryptoLearningClub ("CLC", "we", "us", or "our"). These Terms of Use govern your access to and use of our website, products, and services, including but not limited to dYdX Trading Arena, TokenSender, Cosmos-based Token Sender, and dYdX Validator (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not access or use our Services.
2. Acceptance of Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use, as well as our Privacy Policy. These Terms of Use constitute a legally binding agreement between you and CLC.
If you are using our Services on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind such entity to these Terms of Use.
3. Eligibility
You must be at least 18 years old to access or use our Services. By accessing or using our Services, you represent and warrant that you are at least 18 years old.
Our Services are not available to residents of jurisdictions where the use of our Services would be contrary to applicable law or regulation. By accessing or using our Services, you represent and warrant that your use of our Services does not violate any applicable laws or regulations in your jurisdiction.
4. Account Registration
Some of our Services may require you to create an account or connect a Web3 wallet. When you create an account or connect a wallet, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You agree to immediately notify us of any unauthorized use of your account or any other breach of security. We will not be liable for any loss or damage arising from your failure to comply with this section.
5. Services
Our Services include, but are not limited to, the following:
- dYdX Trading Arena: A competitive trading platform built on dYdX.
- TokenSender: A tool for sending tokens to multiple addresses in a single transaction.
- Cosmos-based Token Sender: A token distribution tool for the Cosmos ecosystem.
- dYdX Validator: A validator service for the dYdX chain.
We reserve the right to modify, suspend, or discontinue any part of our Services at any time without prior notice or liability.
6. User Content
You retain ownership of any content you submit, post, or display on or through our Services ("User Content"). By submitting, posting, or displaying User Content on or through our Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, distribute, and display your User Content in connection with operating and providing our Services.
You represent and warrant that you have all rights, power, and authority necessary to grant the rights granted herein to any User Content that you submit. You also represent and warrant that your User Content does not violate any third-party rights, including intellectual property rights and rights of privacy or publicity.

All content, features, and functionality of our Services, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, software, and the compilation thereof, are owned by CLC, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms of Use do not grant you any right, title, or interest in or to any intellectual property owned by CLC or our licensors, except for the limited license expressly set forth in these Terms of Use.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUR SERVICES OR THE SERVERS THAT MAKE OUR SERVICES AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WE DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES ABOUT THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF THE CONTENT PROVIDED THROUGH OUR SERVICES, OR THE SERVICES, SOFTWARE, TEXT, GRAPHICS, LINKS, OR COMMUNICATIONS PROVIDED ON OR THROUGH THE USE OF OUR SERVICES.
10. Limitation of Liability
IN NO EVENT SHALL CLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE OUR SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON OUR SERVICES; (III) ANY CONTENT OBTAINED FROM OUR SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES OR LIMITATION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, WHICH MEANS THAT SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN THESE JURISDICTIONS, CLC'S LIABILITY WILL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to defend, indemnify, and hold harmless CLC, its directors, officers, employees, agents, partners, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorney's fees and costs, arising out of or in any way connected with (i) your access to or use of our Services; (ii) your violation of these Terms of Use; (iii) your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
12. Termination
We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Use. Upon termination, your right to use our Services will immediately cease.
All provisions of these Terms of Use which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law
These Terms of Use shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Tokyo, Japan for the resolution of any dispute arising from these Terms of Use or your use of our Services.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms of Use at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use our Services.
